01 Agreement
This business agreement (“Agreement”) is made by and between BRYDEN PTE.LTD, a Republic of Singapore registered company (UEN: 201610692G) (Also referred as “Bryden”), and the company / person specified in Appendix 1 (the “Client”), dated at the date specified in Appendix 1 (the “Date of Commencement”). The following terms and conditions apply to this Agreement:
02 Quotation
a. All prices are quoted based on per unit cost.
b. Prices quoted for apparel includes the cost of selected fabric, accessories & trims (Buttons, zippers etc.), cut and sew of garments, pre-shrunk wash, normal clear poly bag packaging and wash care labels.
c. A final quotation for each design will be given after the final sample is completed.
d. The final quotation is valid for 14 days. Quotation is not inclusive of any custom brand labels & tags, custom packaging, shipping charges, duties and any other taxes.
03 Minimum Order Quantities
a. Our MOQs for garments / styles are as followed:

b. Each order must meet the total order quantity requirement of a minimum of 500 pieces or more.
c. For reorders, the minimum order requirement is 1 colour per style and 100 pieces per colour.
d. Do note that there are different MOQs requirements for certain fabrics, trims, ribbing, tapes, buttons, zippers, printing, dyeing, washing processes, embroidery, labels, tags and accessories that will differ from supplier to supplier. If in doubt, please kindly enquire with your sales manager.
e. Any unused fabric can only be stored for a maximum period of 3 months, after which the fabric will be disposed of.
04 Sampling & Sourcing Charges
a. Garment sample charges starts from $150 per style (please refer to appendix 1.2 for the sample price list for each category).
b. Garment sample charges consist of consultation, tech pack development, pattern making, size grading, purchase of sample fabrics and trims and the cut and sew of 1 piece of the sample.
c. Garment sample charges are also inclusive of 1 round of alterations/resamples of garments only.
d. Do note that there will be resample charges for printing, embroidery, packaging, notion and trims and it will be charged at the first sample cost.
e. Additional rounds of garment resamples after the 1st resample will be chargeable at half of the original sample cost.
f. Garment resample charges are non refundable
g. Samples for print, embroidery, custom notions and trims are a separate charge from the garment sample charges.
h. For resample of print, embroidery, custom notions and trims due to no fault of Bryden, do note that the sample charges will be billed again.
i. Our standard practice for sampling is 1 piece per style but if there are requirements for samples for every size or colour or in the instance where the samples of the same style are to be made in different fabrics, these samples charges will be based on half of the original garment and the print/embroidery sample cost. These additional sample fees are separate costs from the cost of mass production and are not eligible for refunds.
j. Pre-production and salesman samples can be provided for free if the fabric for bulk ordered has been ordered and paid. Free sales samples are limited to 1 piece per style.
k. Half of the first garment sample charges can be rebated once the bulk order that has met the minimum order requirements is placed.
l. The garment sample fees can be rebated in full if an order of 300 pieces of the sampled design is ordered in 1 colour.
m. Rebates of garment sample charges will be credited towards the balance payment of the production.
n. For print and embroidery samples, the sample charges are $50-$100 per print (depending on type of print, no of colours and complexity of print) and the sample fee can be rebated if 800 pieces / 800 meters of the same print is ordered.
o. For lab dip or custom dye, the sample fee can be rebated if 800 pieces / 800 meters of the dyed colour is ordered. Lab dib sample costs is $120 per colour per fabric.
p. For hot glue sequins, custom lace or crochet patterns, zipper heads there are certain MOQs to be achieved. Otherwise, it’s advisable to use similar stock options for your requirements.
q. We require all 1st samples to be sent back to our factory before we start production as the reference.
r. Sourcing of fabrics, trims, accessories and other miscellaneous items charges are:
$80 per request (Up to 10 options)
$100 per request (11-20 options)
$150 per request (21-30 options)
05 Shipping / Courier Fees / Duties and Taxes / Force Majeure
a. Courier fees of shipping samples, fabric, trims or any other required accessories to and from our factory to the end client would be borne solely by the Client. Clients can provide us with their respective shipping accounts or we will use the cheapest provider for shipping unless there is a special request (E.g. DHL overnight shipping).
b. Custom taxes and duties might be charged on samples shipments going to your destination and into China. Please note that the Client will be required to bear for the cost of these taxes and duties.
c. Shipments can be arranged either by the Client or us. We will assign the most value for money option for shipping by default. If it’s required to ship by sea freight, please let us know in advance.
d. For shipping, we do not buy insurance by default. For instances where shipment are missing or are stuck in your destination country customs, Bryden is not liable for any losses after the goods have been handed over to the shipper. Please kindly arrange for purchase of insurance based on your cargo invoice value to insure your goods against such force majeure occurrences.
06 Quality Acceptance Levels
a. Please note that there will be a tolerance acceptance level of +/- 3% for each measurement point for both sample and final production pieces. The maximum tolerance error margin for an entire circumference is deemed at 3cm and any production garment falling within this tolerance margin will pass our quality control check for measurements and the Client has to accept the final production garments.
b. There might be some instances when wholesale fabrics are not purchased in full roll quantities, there might be some colour tone difference. Bryden will not be liable for these errors in anyway whatsoever for these colour tones differences.
c. When using different stock fabrics or dying fabrics in small batches simultaneously, it’s expected to have some colour or tonal differences from the pantone colour swatches. As it’s not an uncommon occurrence in the dyeing process, it will not be considered a flaw or defect during sampling or QC. This also applies to the dyeing of buttons, zipper fabric, accessories, and lace.
d. Due to the complexity and the manual process of garment production final production numbers might be either lower or higher from your order quantities. For orders less than 100 pieces per style, the quantity allowance accepted +/- 3 extra pieces per size per colour per style. For orders of more than 100 pieces per style, the quantity allowance acceptance level should be +/- 5 pieces per size per colour per style. For light colour fabric, the quantity allowance acceptance level should be +/- 10% of the order quantity per style.
e. For fabric / trims / accessories provided by the Client, we will not take any responsibility for any damages caused during the transit of shipment of fabrics to our factory. If we found any problems during the processing, we will inform you in advance. However there might be instances where less noticeable errors might be hard to spot and in such instances, Bryden shall not be liable for such issues.
07 Payment Terms & Schedule
a. Samples charges are to be paid 100% upfront.
b. Payment for labels, notions, packaging, custom trims, shipping costs are to be paid 100% upfront.
c. For resamples to start, we will require a 25% deposit of the total order value.
d. For bulk production, another payment of 50% of the total order value is required upfront to purchase raw materials required for the production of your order.
e. The final payment of the balance based on the total output of the order is required to be paid in full before the goods are shipped out.
f. Any bank / payment transaction fees on both sender and receiver’s end are to be borne by the Client.
g. There is a 4% extra charge for payments made via Paypal.
h. Payment methods: Cash, Cheque, bank transfer, Paypal.
i. All outstanding payments must be settled in full by the invoice date, otherwise there will be a 4% interest rate per month on the invoice value.
j. There will be no cancellation of order once payment has been made.
k. All outstanding payments must be made in full before any new orders for samples or production will be accepted.
l. Orders not placed within 45 working days of the final sample completion date will be required to pay for sample charges again.
m. All quotes and charges stated in this agreement are denominated in SGD (SINGAPORE DOLLARS).
08 Delivery Schedule
a. Sourcing lead times: 5-7 working days
b. Product development / Tech packs: 14-21 working days once all design, order information and fabric selection is provided.
c. Sample lead-time: 21-30 working days from the date the tech pack is approved and fabrics are selected unless otherwise stated.
d. If there is custom print/embroidery required for samples, the lead-time for completing the garment sample is 35-50 working days.
e. If there are custom notions and trims required for the samples, the lead-time for completing the garment samples is 45-60 working days.
f. Resample lead-time: 14-21 working days from receiving the approved changes and confirmation of the details by Bryden.
g. Mass production lead-time: 35-60 working days from the date we received the confirmed order details and the deposit in our account unless otherwise stated.
h. For designs that require custom prints, the mass production lead-time will be from 45-60 working days.
i. Do note that as we are ordering fabric from different suppliers, the lead-time for delivery of the fabric to our factory may differ.
j. Delivery dates does not include the lead-time of shipping to your final destination.
k. We endeavor to complete all production projects within the stipulated timelines but as the sourcing and production process involves many different entities, there might be instances of delay in cases where there is heavy customization involved.
l. Timelines for sample starts from the date when we receive payment for all samples and all information and approved and signed off. Please kindly check with your respective sales manager for timelines.
m. Timelines for bulk production starts from the date when we receive down payment for the bulk production and once the approved samples are received by us. Please kindly check with your respective sales manager for timelines during the production process.
n. In instances where there are more than 1 resamples, pre-production, photo-shoot samples required, do kindly note that the overall timeline will be increased by 14-21 working days for each round of resamples.
09 Product Returns Terms & Conditions
a. For any discrepancies or defects in the goods delivered, any reports must be raised within 14 working days of receiving the goods. We will not accept any returns that has been worn, washed or garments that been through wear and tear.
b. For discrepancies or defects in the goods delivered due to our errors, Bryden can either issue a credit note or reproduce the damaged or missing pieces.
10 Changes to Terms & Conditions
a. Bryden reserves the right to revise the terms and conditions of this agreement at any time in 30 days’ notice in writing.
11 Acceptance of Terms & Conditions
a. Do note that the acceptance of our quotes and invoices also constitutes to the agreement of the above stated terms and conditions.
